QUALIFICATIONS
Joining the firm as a partner in 1996, Gerald Haberkorn is the chair of Lowis & Gellen’s Corporate Group and maintains an
extensive transactional and trial practice throughout the U.S. and overseas. Mr. Haberkorn’s transactional practice
includes negotiating and drafting stock purchase agreements, asset purchase agreements, joint venture agreements,
limited partnership agreements and licensing agreements. His broad commercial background serves as a solid foundation for
the successful litigation of complex domestic and international commercial transactions – a sufficiently effective and
entrepreneurial approach to the practice to place him as a finalist in Fast Company magazine’s 2005 “Fast 50,” as one of
the U.S.’s “high impact legal leaders.” In 2004, he was chosen as the first and only U.S. attorney to participate as a
regularly-published panelist in the U.K. publication Acquisition Finance.
At trial, Mr. Haberkorn represents and counsels buyers and sellers in stock and asset purchases in which unanticipated
liabilities arise following closing, such as where a representation or warranty is breached, among other corporate
disputes involving director and officer liability, and shareholder disputes. The majority of the litigation he handles
involves the pursuit of injunctive relief and money damages.
Mr. Haberkorn has been selected for inclusion in the premier issue of Super Lawyers, Corporate Counsel Edition (April 2008).
In 2007, he was named in the top 5% of Illinois attorneys to be one of Illinois' "Super Lawyers" and was
also honored with designation as one of Illinois' top civil defense lawyers, a "Leading Lawyer" in professional
liability defense. He was previously selected as one of Illinois’ “Leading Lawyers” in 2005 in the areas of commercial
litigation and professional liability defense

In addition to his active practice, Mr. Haberkorn was selected as a Federal Trial Bar Instructor for the United States
District Court for the Northern District of Illinois and appointed to their prestigious Local Rules Committee,
recognizing the range of his federal litigation practice experience. He has also been appointed by the Illinois
Supreme Court to serve on the Judicial Performance Evaluation Committee.
He is a member of the Appellate Lawyers’ Association, having served on the Editorial Board of the Appellate Law Review,
and is a member of the Federal Bar Association. He has taught Agency and Partnership Law at The John Marshall
Law School, co-chaired the Federal Bar Training Course of the Chicago Bar Association, and served on the Executive Civil
Practice Subcommittee and as Vice Chair of the CBA Judiciary Committee.
EDUCATION
Mr. Haberkorn received a B.A., from DePauw University, Greencastle, Indiana, and a J.D. from The John
Marshall Law School, Chicago Illinois. In June of 2002, Mr. Haberkorn earned a certificate from the Kellogg Graduate School
of Management, Kellogg Management Institute, Northwestern University.
BOARD SERVICE
Mr. Haberkorn has been appointed to serve on the Chicagoland Chamber of Commerce Board of Directors and the Chamber's Middle Market
Forum Advisory Subcommittee. He also was appointed to the Boards of Directors of four U.S. subsidiaries of the Ontario-based Energy Savings
Income Fund. Unanimously elected to the LaGrange Little League Board of Directors in 2007, Mr. Haberkorn was also elected to serve on the Board of
Directors of the West Suburban Baseball League. He previously served on the Board of Directors of the Chicago Chapter of Girl Scouts of America and on their Executive Committee (1998-2003).
