FOCUS

James G. Froberg is an experienced real estate, corporate and commercial lawyer. He has spent most of his twenty-seven year career as in-house legal counsel for a variety of public and private companies. He has worked closely with the management of diversified commercial financial services organizations operating in both regulated and unregulated environments.

Mr. Froberg most recently was Associate General Counsel and Assistant Secretary with Comdisco, Inc. Prior to joining Comdisco, Mr. Froberg served as Vice President, General Counsel and Secretary for LINC Capital, Inc. for over ten years. While at LINC his primary duties related to providing transactional legal advice to the various business segments of the company. He also worked closely with management on the formation and dissolution of limited partnerships and special purpose vehicles related to the company's corporate financing activities.

Before joining LINC, he served as in-house counsel with a variety of nationally known commercial and consumer financial services organizations headquartered in Chicago including Heller Financial, Inc., Associates Commercial Corporation, Walter E. Heller & Company, International Harvester Company, and General Finance Corporation.

Mr. Froberg has provided legal services related to commercial leasing and lending, asset-based financing and venture leasing and financing transactions. He also provided strategic legal services related to the acquisition and sale of major lease, loan and other financial assets as well as the acquisition and divestiture of businesses. He has negotiated and prepared agreements and pleadings related to defaults, restructures and workouts on both the debtor and creditor side of matters. He is experienced with the implementation and coordination of legal strategy both inside and outside bankruptcy and state law insolvency proceedings.

He has also provided a wide range of corporate legal services and strategic advice to managers within organizations including human resources issues, facilities management services and development projects, corporate finance and treasury transactions, corporate insurance, and information management. He has served as a corporate secretary in both a public and private company environment and is familiar with implementing corporate governance issues

PROFESSIONAL ACTIVITIES

Mr. Froberg is a member of the Chicago Bar Association and Illinois State Bar Association. He has lectured on equipment lease financing related subjects with the Equipment Leasing Association. He has also served as an outside independent director for a number of special purpose companies created in connection with their corporate finance and securitization activities.

EDUCATION

Mr. Froberg is a graduate of Loyola University of Chicago, College of Arts and Sciences and has received his J.D. from Loyola University of Chicago, School of Law. He has also received his Masters of Management from Northwestern University, J.L. Kellogg Graduate School of Management.
